Billing Terms

Subscription billing, refunds, trials, and payment processing for Employer accounts.

1. Introduction and Scope

These Billing Terms (the "Billing Terms") govern all payment, subscription, trial, billing, and related financial obligations applicable to paid Employer accounts on the JAYOBE platform operated by JAYOBE, Inc., a Delaware corporation ("JAYOBE," "we," "us," or "our"), and located at jayobe.io (together with all related services, features, and functionality, the "Platform"). These Billing Terms are incorporated into and form a part of the JAYOBE Terms of Service located at jayobe.io/terms(the "Terms of Service" or "Terms") with respect to Employer accounts that elect a paid subscription plan, enter a free trial that transitions to a paid subscription, or purchase any paid feature on the Platform.

Note

In the event of any conflict between these Billing Terms and the Terms of Service with respect to payment, subscription, trial, billing, cancellation, refund, price change, dunning, listing suspension for non-payment, tax, chargeback, or any other financial or billing matter, these Billing Terms govern as to that matter. On all non-billing matters, the Terms of Service govern, including without limitation the arbitration and dispute resolution provisions of Section 18 of the Terms of Service, the governing law and venue provisions of Section 19 of the Terms of Service, the limitation of liability provisions of Section 16 of the Terms of Service, and all other non-financial provisions of the Terms of Service.

Capitalized terms used but not defined in these Billing Terms have the meanings given to them in the Terms of Service. For convenience, the following defined terms are used throughout these Billing Terms: "Platform" has the meaning given in the Terms of Service; "Employer" has the meaning given in the Terms of Service; "Job Seeker" has the meaning given in the Terms of Service; "Listing" means a job posting by an Employer on the Platform; and "Billing Terms" means this document in its then-current version as updated from time to time in accordance with Section 17 below. "Services" has the meaning given in the Terms of Service and, for purposes of these Billing Terms, includes the paid features associated with Employer subscriptions.

"Location" means, whether included in a subscription plan, purchased as a Feature Upgrade, or associated with a Single Listing purchase, a bona fide, regularly staffed physical place of business of the Employer at the displayed address, at which the Employer conducts operations and at which a candidate could reasonably be expected to interview, report to work, or perform work. Addresses that do not qualify as a location include, without limitation, mail-forwarding and virtual-office addresses, registered-agent addresses, P.O. boxes, unstaffed satellite or administrative addresses, and addresses used to represent a sales or service territory rather than a place of business. Where the work described in a Listing is performed at the worksite of an Employer's client — as in staffing, placement, or similar third-party arrangements — the Listing's location may instead be that client worksite, provided the worksite is a bona fide, regularly staffed physical place of business of the client at which the work is to be performed, the staffing or placement relationship is disclosed in the Listing, the identity of the client, and any Content that would identify the client, including location photographs and brand imagery, is disclosed in the Listing or, for a list-only Listing designated client-confidential, provided to JAYOBE and withheld from public display, and the Employer has, and maintains for as long as the Listing is active, any authorization required to identify the worksite address and, where applicable, to withhold the client's identity from public display. Any Listing may be designated list-only, in which case it receives no map pin and displays its location at the city level; the underlying location remains subject to this paragraph, and the Employer's own identity is always displayed. Whether an Employer or a Listing is operating under a staffing, placement, or similar third-party arrangement for purposes of this paragraph is determined by JAYOBE in its sole discretion. JAYOBE may decline to activate, or may deactivate or remove, any location or associated map pin that JAYOBE determines, in its sole discretion, does not qualify under this definition. A determination under this paragraph is not a cancellation of the Employer's subscription; amounts already charged are not refundable by reason of such a determination, consistent with Section 10, and any associated recurring Feature Upgrade quantity is reduced prospectively in accordance with the removal timing in Section 12.

The Platform is available to Employers and Job Seekers located in all fifty (50) United States, the District of Columbia, and U.S. territories. These Billing Terms are drafted with reference to the federal laws of the United States and, as specified above, the substantive law of the State of Delaware by reference to Section 19 of the Terms of Service.

By proceeding through the billing gate at the time of first Listing creation, by selecting a paid plan, by providing a payment method, by checking the billing authorization checkbox, or by otherwise activating a paid subscription or paid feature on the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Billing Terms and consent to transact and receive disclosures electronically with respect to all billing matters, consistent with the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.). Electronic communications related to billing are further described in Section 11 of the Privacy Policy (email classification and opt-out) and in Section 5 of these Billing Terms (billing-specific electronic consent).

2. Who These Billing Terms Apply To

These Billing Terms apply exclusively to Employer accounts that create Listings on the Platform or that purchase any paid feature, subscription, or service on the Platform. These Billing Terms apply only to Employers and only to the specific paid Employer activities described herein.

Job Seekers are never subject to these Billing Terms.

As of the Effective Date, Job Seekers have free and unconditional access to the Platform's map-based discovery interface, list and filter views, profile creation and management, resume upload, saved-job features, and application submission features. Section 10.7 of the Terms of Service governs whether and how any Job Seeker feature may ever be charged for. JAYOBE does not charge Job Seekers any fee of any kind to access the Platform, to create a profile, to upload a resume, to browse Listings, or to submit applications, and Job Seekers are never subject to any subscription, trial, free-trial-to-paid transition, billing authorization, automatic renewal, cancellation obligation, dunning, or any other financial obligation under these Billing Terms.

Note

The distinction in the preceding paragraph is a material representation of JAYOBE to Job Seekers. Nothing in these Billing Terms creates, implies, or may be construed to create any billing or payment obligation on the part of any Job Seeker. Any future paid Job Seeker feature, if offered, will be governed by separate terms clearly and conspicuously disclosed at the time that feature is offered, and any such paid feature requires a prior amendment of the Terms of Serviceand the Job Seeker's affirmative election to purchase it before any charge is made.

An Employer account that does not post any paid Listing, does not elect a paid plan, and does not purchase any paid feature is not subject to the billing, trial, and subscription provisions of these Billing Terms. An Employer may maintain an unpaid Employer profile on the Platform without incurring any charge, subject to JAYOBE's right to introduce a profile fee or to modify the scope of unpaid profile features prospectively through an amendment of these Billing Terms on the notice terms set forth in Section 17.

3. Plan Selection and Pricing

Paid Employer subscriptions are selected at the billing gate presented to the Employer at the time of first subscription-plan Listing creation. Plan selection occurs before any payment method is collected and before the billing authorization checkbox is presented. No paid subscription is activated, and no payment method is collected, until the Employer has reached the billing gate in connection with creating a Listing under a paid plan.

JAYOBE currently offers three paid Employer subscription plans:

Basic Plan

Current rate of fifty U.S. dollars ($50.00) per month.

Pro Plan

Current rate of one hundred U.S. dollars ($100.00) per month.

Enterprise Plan

Custom pricing determined on a per-account basis. See Section 14 below.

The Basic and Pro rates stated above are the current rates offered at the time of these Billing Terms' Effective Date and are subject to change in accordance with Section 11 below. JAYOBE does not represent, and no Employer should assume, that any current rate will remain in effect for any specified future period or will continue to be offered after any particular date. Any change to subscription pricing is governed by Section 11.

All subscription rates are stated in U.S. dollars. All subscriptions are billed monthly. JAYOBE does not currently offer annual or multi-period billing; if annual or multi-period billing is introduced in the future, the applicable terms, reminder cadence, and renewal disclosures will be added to these Billing Terms by amendment or presented as separate terms at the time of activation, consistent with applicable law.

Single Listing Purchase.JAYOBE offers a one-time Single Listing purchase at the current rate of fifty U.S. dollars ($50.00). A Single Listing purchase publishes one Listing, with a map pin, for a period of thirty (30) days from publication, after which the Listing expires. A Single Listing purchase is not a subscription: it does not renew, carries no recurring charge, and is not eligible for any free trial, promotion, or credit unless expressly permitted by JAYOBE in writing. The rate stated above is the current rate at the time of these Billing Terms' Effective Date and is subject to change in accordance with Section 11. Except where required by law, Single Listing purchases are subject to the same refund provisions applicable to subscription charges under these Billing Terms.

4. Free Trial

4.1 What the Free Trial Is

JAYOBE may offer a free trial period to new Employer accounts at the time of first subscription-plan Listing creation. A free trial provides access to the paid features associated with the plan the Employer selects at the billing gate, at no charge, for a defined period that ends on the trial end date disclosed to the Employer at the billing gate. Each new Employer account — identified by the underlying legal entity or natural person, not by the account identifier alone — is eligible for at most one free trial, and no trial may be combined with any other trial, promotion, discount, or credit unless expressly permitted by JAYOBE in writing.

4.2 Disclosure and Honor of Trial Duration

At the billing gate, and before the Employer checks the billing authorization checkbox or provides any payment method, the Employer is shown the specific calendar date on which the free trial ends. That date is the specific calendar date on which the Employer's payment method will be charged for the first monthly billing period at the applicable plan rate, unless the Employer has cancelled the subscription before that date in accordance with Section 8. The trial end date disclosed to the Employer at the billing gate is the trial end date JAYOBE will honor for that Employer's trial. Subsequent changes to the duration of the free trial offered to new signups do not shorten the trial of any Employer whose trial is already active.

At the expiration of the free trial period, and unless the Employer has cancelled the subscription in accordance with Section 8 before the trial end date, the Employer's paid subscription will begin automatically at the applicable plan rate selected at the billing gate, and the payment method provided at the billing gate will be charged for the first monthly billing period on the trial end date.

Trial End Reminder.JAYOBE sends the Employer a trial-end reminder email in advance of the trial end date. The reminder states the trial end date, the plan rate that will be charged on that date, and a link to the self-serve cancellation flow in the Employer's account dashboard. The reminder email supplements, and does not replace, the original disclosures provided at the billing gate.

4.3 Limited Reservation of Rights Regarding Free Trials

The honor commitment in Section 4.2 is JAYOBE's default practice: the trial end date disclosed at the billing gate is honored for the duration of that Employer's active trial.

Important

JAYOBE reserves the right to shorten or terminate an individual Employer's active free trial only upon the occurrence of one or more of the following: (a) JAYOBE's reasonable determination that the Employer has engaged in fraud, abuse, or deceptive conduct in connection with trial eligibility or account creation; (b) a violation of the Terms of Service or the Acceptable Use Policy by the Employer; (c) a Platform-wide emergency affecting the security, integrity, or availability of the Platform; or (d) any other circumstance in which, under Section 8.5 of the Terms of Service, JAYOBE would be entitled to suspend or terminate the Employer's account.

Changes to the duration or structure of the free trial offered to new signups take effect only prospectively and apply only to Employers who activate a trial after the change takes effect. No trial extension, credit, refund, or compensation is owed by JAYOBE to any Employer on the basis that JAYOBE has modified the free trial offer for future signups after the Employer's own trial has begun.

5. Billing Authorization and Automatic Renewal

By selecting a paid plan, providing a payment method, and checking the billing authorization checkbox at the billing gate, the Employer authorizes JAYOBE, and JAYOBE's payment processor Stripe, Inc. ("Stripe"), to charge the payment method provided for the applicable plan rate and for any applicable paid feature charges, on a monthly recurring basis, beginning at the expiration of any applicable free trial and continuing for each subsequent monthly billing period until the subscription is cancelled in accordance with Section 8.

The following material terms are disclosed clearly and conspicuously at the billing gate before the Employer checks the billing authorization checkbox and before any payment method is collected, consistent with the Restore Online Shoppers' Confidence Act of 2010 (15 U.S.C. §§ 8401 et seq.) ("ROSCA"), applicable state Automatic Renewal Laws (including without limitation the California Automatic Renewal Law, Cal. Bus. & Prof. Code § 17600 et seq.), and Section 5 of the Federal Trade Commission Act (15 U.S.C. § 45):

(a) Plan & Rate

The specific plan selected by the Employer and the monthly recurring rate that will be charged for that plan at the expiration of any applicable free trial, together with a tax-inclusive display where applicable taxes will be collected under Section 15.

(b) Trial End Date / First Charge Date

The specific calendar end date of any applicable free trial, which is also the specific calendar date on which the first monthly charge will occur absent timely cancellation.

(c) Automatic Renewal

That the subscription automatically renews for successive monthly billing periods at the then-current applicable plan rate, and that the payment method provided will be charged on each monthly renewal date, until the Employer cancels the subscription.

(d) Easy Cancellation

That the Employer may cancel the subscription at any time, free of charge, through the self-serve cancellation flow in the Employer's account dashboard on the Platform, by a method at least as simple as the method used to activate the subscription, and without the need for any phone call, email, chat, or conversation with any JAYOBE representative. JAYOBE may present an optional retention offer or survey during the cancellation flow that the Employer may skip or dismiss at any time without completing it, provided that the ability to finalize cancellation without interacting with any retention content is preserved in accordance with Section 8.

(e) Negative Option Feature

That the subscription is a negative option feature — meaning that the Employer's inaction at the end of the free trial, and at each subsequent monthly renewal, will result in the continued charging of the payment method provided until the Employer affirmatively cancels.

(f) 30-Day Permanent Suspension

That if a payment failure occurs on an attempted charge and the failure remains unresolved for thirty (30) days, JAYOBE may permanently suspend or terminate the account under Section 7.

A separate billing authorization checkbox, distinct from any acceptance of the Terms of Service or the Privacy Policy, is presented to the Employer at the billing gate. The billing authorization checkbox is unchecked by default, and the Employer cannot submit the billing form, cannot provide a payment method, and cannot activate a paid subscription without affirmatively checking the billing authorization checkbox. The billing authorization checkbox is linked specifically to these Billing Terms and its label makes clear that the Employer is authorizing recurring monthly charges to the payment method provided.

Note

At the moment the Employer checks the billing authorization checkbox, JAYOBE records a billing authorization consent event in its consent log, capturing the Employer's user identifier, the timestamp of the event in Coordinated Universal Time, the Employer's Internet Protocol address at the time of the event, the plan tier selected, the free trial duration disclosed to the Employer (if any), the post-trial monthly amount disclosed, the trial end date disclosed, and the version identifier of these Billing Terms in effect at the time of the event. This consent log is append-only, is not modified or deleted, and is retained in accordance with Section 8 of the Privacy Policy as legal evidence of valid consent to the terms of the subscription.

Immediately following submission of the billing gate, JAYOBE sends the Employer a subscription confirmation email, stating the plan selected, the trial end date (if applicable), the first billing date, the monthly recurring rate, and a link to the cancellation flow. Each successful renewal charge is followed by a payment receipt email.

Phone Number Acknowledgment

By providing a business phone number at Employer account creation or at the billing gate, the authorized representative acknowledges that JAYOBE may contact the Employer by voice call or SMS at that number for operational purposes — including trial-end reminders, payment-failure notices, billing inquiries, and account-status communications — as further described in Section 11 of the Privacy Policy. JAYOBE does not send marketing or promotional SMS to Employers without separate affirmative opt-in consent. The Employer may revoke consent to receive SMS messages at any time by the methods described in Section 11 of the Privacy Policy. Revocation of SMS consent does not affect the Employer's subscription, billing, or access to the Platform, but may affect the Employer's ability to receive time-sensitive payment-failure notices by SMS.

6. Payment Processing

All payments under these Billing Terms are processed by Stripe. JAYOBE does not collect, store, or transmit raw payment card data on its own systems. Payment card data is collected directly by Stripe through Stripe's hosted payment elements and is stored on Stripe's systems in accordance with Stripe's security and compliance practices. JAYOBE stores only a Stripe Customer identifier and the subscription metadata necessary to manage the Employer's account, both of which are linked to the Employer's account record on the Platform.

At the billing gate, the Employer's payment method is collected via a Stripe Setup Intent, which authorizes JAYOBE to charge the payment method at a later date but does not charge the payment method at the time of collection. The first charge to the payment method occurs on the trial end date at the applicable plan rate, unless the Employer has cancelled before that date. If no free trial applies, the first charge occurs immediately upon activation of the paid subscription.

Charges to the Employer's payment method appear on the Employer's card statement with the merchant descriptor JAYOBE JOBS. The Employer is responsible for ensuring that the payment method provided is valid, has sufficient available credit or funds, is authorized for recurring charges by the cardholder or account holder, and is kept up to date through the Employer's account dashboard.

By providing a payment method at the billing gate, the Employer and, if the Employer is a natural person acting on behalf of a business entity, the individual providing the payment method each represent and warrant that (i) the individual is authorized to bind the Employer and to authorize recurring charges to the payment method provided on the Employer's behalf, and (ii) the payment method is valid and in good standing. If the individual providing a payment method is not in fact authorized to bind the Employer, the individual shall be personally liable for the charges assessed under the billing authorization. The Employer will keep the payment method information current throughout the term of any active subscription. If the payment method expires or becomes invalid, the Employer is responsible for updating payment information through the account dashboard; failure to do so may result in payment failure under Section 7.

7. Payment Failure and Listing Suspension

If a charge to the Employer's payment method fails for any reason — including without limitation an expired card, insufficient funds, a declined transaction, a revoked authorization, a closed account, or a fraud or risk block — JAYOBE's response is as follows.

First-Period Charge Failure

If the first charge to the Employer's payment method under the subscription fails (for example, on the trial end date or at activation if no free trial applies), the subscription does not activate. The Employer's Listings are not published under the paid plan, access to paid features is not granted, and no prepaid period is in effect. Stripe will automatically retry the failed first charge on a dunning schedule of approximately three (3) days, seven (7) days, and fourteen (14) days following the initial failure, and the Employer receives an email at each retry stage in accordance with the Email Notification subsection below.

Renewal Charge Failure During Paid Period

If a renewal charge fails after the Employer has been successfully charged for a prior billing period, the Employer's active Listings remain published through the end of the current paid period for which the Employer has already been charged. Stripe will automatically retry the failed renewal charge on a dunning schedule of approximately three (3) days, seven (7) days, and fourteen (14) days following the initial failure. If the retries succeed before the end of the current paid period, the subscription continues uninterrupted. If the retries do not succeed by the end of the current paid period, the Employer's active Listings are suspended on the first day following the end of the last paid period. Suspended Listings are not visible to Job Seekers on the Platform's map, list view, filter views, or any other Listing surface. The Employer's access to the Platform's back-end account tools remains available during suspension to allow the Employer to update payment information.

Automatic Retry Cadence

Stripe's retry cadence for payment failures is approximately three (3) days, seven (7) days, and fourteen (14) days following the initial failure. Exact retry timing is managed by Stripe's standard recovery logic and may vary slightly based on Stripe's real-time network conditions and card network responses.

Automatic Restoration Upon Successful Retry

Upon successful retry of a failed charge — whether triggered by Stripe's scheduled retry or triggered by the Employer updating the payment method in the account dashboard — the Employer's paid access is automatically restored (in the case of a first-period charge failure, the subscription activates and Listings publish; in the case of a renewal charge failure that resulted in suspension, previously active Listings are restored to active status and once again appear on the Platform's public Listing surfaces). Restoration does not require any support contact or manual intervention by the Employer beyond updating the payment method, and generally occurs within minutes of the successful charge.

Email Notification

The Employer receives an email at each retry stage — including the initial failure, each subsequent retry, and the final failure — stating the failed amount, the reason provided by Stripe (where available), the date of the next retry (where applicable), and a link to update the payment method in the account dashboard.

Cancel During Dunning

The Employer may cancel the subscription at any time during a dunning cycle in accordance with Section 8 to stop further retries, subject to the cancellation terms of Section 8.

Important

Permanent Suspension After Thirty Days.If a payment failure remains unresolved thirty (30) days after the initial failure, JAYOBE may, in its reasonable good-faith discretion, permanently suspend or terminate the Employer's account. The thirty (30) day permanent-suspension timing is disclosed at the billing gate as part of the material terms described in Section 5(f). Permanent suspension under this Section does not create any refund obligation on the part of JAYOBE for any prior paid period, does not entitle the Employer to any credit, and does not waive any amounts owed to JAYOBE. JAYOBE reserves all rights and remedies available to it in connection with unpaid amounts.

8. Cancellation

The Employer may cancel a paid subscription at any time, free of charge, through the self-serve cancellation flow available in the Employer's account dashboard on the Platform. Cancellation is by a method at least as simple as the method used to activate the subscription.

This cancellation mechanic is designed to comply with the Restore Online Shoppers' Confidence Act (15 U.S.C. §§ 8401 et seq.), applicable state Automatic Renewal Laws (including without limitation the California Automatic Renewal Law, Cal. Bus. & Prof. Code § 17600 et seq.), and the prohibition against unfair or deceptive acts or practices under Section 5 of the Federal Trade Commission Act (15 U.S.C. § 45).

No Phone, Email, or Conversation Required

The Employer is never required to call JAYOBE, send an email, participate in a chat, speak with a representative, or complete any form beyond the self-serve flow in order to cancel.

Timing

Cancellation takes effect at the end of the then-current monthly billing period. The Employer's paid access to Listing tools, Platform features, and any purchased recurring feature upgrades continues through the end of the paid period for which the Employer has already been charged.

No Prorated Refund

JAYOBE does not issue prorated refunds for the unused portion of any billing period in which the Employer cancels. The Employer retains access through the end of the billing period as the sole consideration for the amount paid.

Cancellation During Free Trial

If the Employer cancels during an active free trial before the trial end date, no charge is assessed and the subscription does not begin. The Employer's access to paid features ends at the earlier of the original trial end date or such other date as may be disclosed in the cancellation confirmation.

Optional Retention Content

JAYOBE may present an optional retention offer, survey, or similar content during the cancellation flow. Any such retention content is optional, may be skipped or dismissed by the Employer at any time, and does not extend, condition, or burden the Employer's ability to finalize cancellation through the self-serve flow. The content, skip mechanism, and presentation of any retention offer will be consistent with the cancellation disclosures in Section 5.

Negative Option Compliance

Cancellation is by the same medium as subscription — online, through the Platform — and no step in the cancellation flow is more burdensome than any step in the subscription flow.

Note

Confirmation Email. JAYOBE sends the Employer a cancellation confirmation email immediately upon the Employer completing the cancellation flow — not at the end of the billing period. The confirmation email states the cancellation effective date, the end-of-access date, and a link to reactivate if the Employer later chooses to do so. Cancellation is effective when the Employer completes the self-serve cancellation flow, regardless of whether the confirmation email is received. If the Employer does not receive a confirmation email within a reasonable time after cancelling, the Employer should contact billing@jayobe.io to confirm the cancellation record.

9. Reactivation After Cancellation

An Employer whose subscription has been cancelled may reactivate a paid subscription at any time through the self-serve reactivation option in the account dashboard.

New Subscription, Not Resumption

Reactivation creates a new Stripe subscription. It is not a resumption of the prior cancelled subscription. The monthly billing cycle anchor resets to the date of reactivation, and subsequent monthly charges occur on the monthly anniversary of the reactivation date.

No New Trial

No new free trial is offered upon reactivation. The first charge to the payment method provided at reactivation occurs on the reactivation date at the applicable plan rate.

Reactivation Pricing

Reactivation is at the then-current rate for the plan tier selected at reactivation. No prior promotional, retained, discretionary, or other pricing from a cancelled subscription carries over to a reactivated subscription.

Billing Authorization Re-Captured

Reactivation requires the Employer to check a billing authorization checkbox in connection with the new subscription, and JAYOBE records a new billing authorization consent event in its consent log at the time of reactivation.

Reactivation Disclosure

Before the Employer confirms reactivation, the following disclosure is presented to the Employer in-product, with the plan rate populated dynamically to reflect the current rate for the plan tier selected at reactivation:

Reactivating will start a new billing cycle at the current rate for the [Plan Tier] plan of $[PLAN RATE]/month. No new trial period applies.

The plan rate displayed in the reactivation disclosure is the then-current rate applicable to the plan tier the Employer selects at reactivation. The rate displayed at the time of reactivation is the rate the Employer will be charged.

10. Refunds

Non-Refundable by Default

All subscription fees and feature upgrade charges paid by the Employer are non-refundable except to the extent a refund is required by applicable law or voluntarily issued by JAYOBE in its discretion.

Payment Failure

A payment failure at renewal, whether or not it results in Listing suspension under Section 7, does not entitle the Employer to a refund of any amounts paid for any prior billing period.

Termination for Cause

Termination, suspension, or removal of the Employer's account by JAYOBE for cause — including without limitation a violation of the Terms of Service, a violation of the Acceptable Use Policy, fraudulent activity, chargeback misuse, or any other action by JAYOBE permitted under the Terms of Service or the Acceptable Use Policy — does not entitle the Employer to a refund of any subscription fees, feature upgrade charges, or other amounts previously paid.

Termination for Business Reasons

If JAYOBE terminates the Employer's subscription for reasons unrelated to the Employer's conduct (for example, JAYOBE discontinues the plan tier, the Platform, or the Services), JAYOBE will refund the unused portion of the Employer's most recent paid billing period on a pro-rata basis, except where the termination occurs during a notice period in which the Employer had the opportunity to download data or transition off the Platform.

Refund Method

Where JAYOBE elects in its discretion, or is required by law, to issue a refund, refunds are issued to the original payment method through Stripe. If the original payment method is closed, expired, or otherwise unavailable to receive a refund through Stripe, JAYOBE will make reasonable efforts to remit the refund through an alternative method consistent with applicable law, which may include issuance by check or electronic transfer to an account designated by the Employer.

Note

Mandatory Statutory Refunds. Nothing in this Section 10 limits any refund right that applies to the Employer as a matter of non-waivable state or federal law.

11. Price Changes

New Subscribers

Employers who activate a paid subscription after the effective date of any price change pay the then-current rate for the plan tier they select at the billing gate. No prior or reduced rate is available to new subscribers except as JAYOBE may offer in its discretion as a promotional incentive at the time of signup.

Changes to Rates for Existing Subscriptions

JAYOBE may change the rates applicable to active paid subscriptions — including base plan rates and recurring Feature Upgrade rates — at any time by providing at least thirty (30) days' advance notice by email to the address associated with the Employer's account and by an in-product notice in the Employer's account dashboard. The notice states the current rate, the new rate, and the effective date. The new rate takes effect on the Employer's first monthly billing date that falls on or after the effective date stated in the notice. Maintaining the subscription through that billing date constitutes acceptance of the new rate; no further consent step is required.

Note

Right to Cancel Before a New Rate Applies.An Employer who does not wish to pay a new rate may cancel at any time before the first billing date at the new rate, through the self-serve cancellation flow described in Section 8, and will not be charged the new rate. Cancellation takes effect at the end of the then-current paid period in accordance with Section 8, at the Employer's existing rate.

Trials in Progress

For an Employer whose free trial is active on the date a rate-change notice is sent, the trial-end charge remains the amount disclosed to that Employer under Section 4 and Section 5, including as re-disclosed upon any mid-trial configuration change. The changed rate first applies at the next monthly billing date after the trial-end charge that falls on or after the effective date stated in the notice.

Discretionary Pricing

JAYOBE may, in its discretion, elect not to apply a rate change to particular subscriptions, or to offer promotional, retained, or custom pricing to particular Employers. Any such election is made on a per-account basis, may be withdrawn prospectively through the same notice process described in this Section 11, is not a waiver of any right under this Section 11, and creates no entitlement in favor of any other Employer or for any future period. No Employer is entitled to the continuation of any rate beyond the Employer's current paid billing period except as expressly provided in this Section 11.

Feature Upgrade Pricing

Changes to the offered pricing of Feature Upgrades for new purchases take effect prospectively. Rates for recurring Feature Upgrades on an active subscription may be changed through the same notice process described in this Section 11.

Single Listing Pricing

The Single Listing rate may be changed by JAYOBE at any time. The rate displayed to the Employer at the time of a Single Listing purchase is the rate charged for that purchase.

Records of Notices

JAYOBE retains a record of each rate-change notice sent under this Section 11 — including the affected subscriptions, the prior and new rates, and the effective date — for the same period as billing authorization consent logs.

Non-Pricing Plan Changes

Nothing in this Section 11 limits JAYOBE's right to modify feature availability, plan composition, or the inclusion of specific features within a plan, which are matters governed by the Terms of Service.

12. Feature Upgrades

From time to time JAYOBE may make available paid feature upgrades to Employers, including without limitation additional active Listing slots, additional locations, featured placements, logo pin enhancements, and other premium add-on features (each a "Feature Upgrade"). Each Feature Upgrade is a separate charge that is in addition to the Employer's base subscription charges and does not reduce base subscription charges. Additional locations, however acquired, are subject to the definition of "location" in Section 1 of these Billing Terms. A worksite of an Employer's client that serves as a Listing's location under Section 1 is a location for all purposes under these Billing Terms, including the number of locations included in the Employer's subscription plan and the rate charged for locations beyond that number.

One-Time Feature Upgrades

Where a Feature Upgrade is charged on a one-time basis, the price is displayed to the Employer at the time of purchase and the Employer's payment method is charged immediately upon the Employer confirming the purchase. One-time Feature Upgrades are not subject to recurring billing and do not automatically renew.

Recurring Feature Upgrades

Where a Feature Upgrade is charged on a recurring basis, the full ROSCA disclosures required by Section 5 apply to the Feature Upgrade — including the recurring charge amount, the billing frequency, the cancellation method, and the negative option disclosure — and a separate billing authorization checkbox specific to the recurring Feature Upgrade is presented to the Employer at the time of purchase. The cancellation mechanics applicable to recurring Feature Upgrades are identical to those applicable to base subscriptions under Section 8: self-serve, by a method at least as simple as the method used to activate the Feature Upgrade, no phone or email required, confirmation email sent immediately.

Quantity Changes and Timing

An Employer may add or remove recurring Feature Upgrade quantities (for example, additional Listing slots or additional locations) at any time through the account dashboard. Additions take effect immediately, and the payment method is charged a prorated amount for the remainder of the current billing period. Removals and quantity reductions take effect at the end of the current billing period: the Employer retains the removed capacity through the end of the period already paid for, and no mid-period refund or credit is issued, consistent with Section 10. During a free trial, recurring Feature Upgrades added to the subscription bill nothing until the trial end date; the first charge at the trial end date equals the itemized total disclosed to the Employer for the subscription configuration in effect on that date.

Classification Disclosed at Purchase

Whether a particular Feature Upgrade is one-time or recurring is clearly and conspicuously disclosed to the Employer at the point of purchase, before the Employer confirms the purchase.

Logo and Asset Representations

By uploading a logo image or other brand asset in connection with a Feature Upgrade, the Employer represents and warrants that the Employer owns the asset or has the right to use the asset on the Platform in connection with the Feature Upgrade, and the Employer grants JAYOBE the license described in Section 5 of the Terms of Service with respect to such asset.

Refunds for Feature Upgrades

Feature Upgrade charges are subject to Section 10 (Refunds) to the same extent as base subscription charges.

13. Additional Billing Categories

JAYOBE may, in the future and at its sole discretion, introduce additional paid billing categories for Employers beyond the monthly subscription plans and Feature Upgrades described in these Billing Terms. Any such additional billing category — if introduced — will be governed by a targeted amendment to these Billing Terms adding a new section that describes the applicable pricing, billing mechanics, trial eligibility (if any), refund policy, and other terms specific to that category. No additional billing category is authorized, active, or available on the Platform unless and until these Billing Terms have been amended to expressly describe it.

This Section 13 does not itself create, authorize, or obligate JAYOBE to introduce any additional billing category, and is included only to establish the amendment framework under which any future category would be added.

14. Enterprise Plan

The following clause governs the Enterprise Plan:

Note

Enterprise plan pricing is custom and determined on a per-account basis following an approval and onboarding process. Enterprise pricing will be disclosed and agreed upon in writing before any Enterprise subscription is activated.

No fixed Enterprise Plan price is stated in these Billing Terms or in any other JAYOBE public document. An Employer that selects the Enterprise Plan at the billing gate flags the account for JAYOBE's custom pricing and onboarding process. No Enterprise subscription is auto-billed at any rate, and no payment method is charged for Enterprise service, until the Employer and JAYOBE have agreed in writing to the Enterprise pricing and terms applicable to that account.

Enterprise accounts are subject to all provisions of these Billing Terms except to the extent specifically superseded by a separate written Enterprise agreement executed between the Employer and JAYOBE. In the event of any conflict between a fully executed Enterprise agreement and these Billing Terms, the Enterprise agreement governs with respect to that Employer only, and only to the extent of the conflict.

15. Taxes

The Employer is responsible for paying all applicable taxes, duties, levies, and other governmental assessments associated with the Employer's use of paid features of the Platform, except for taxes based on JAYOBE's net income. Where JAYOBE is required by applicable law to collect and remit sales, use, service, transaction, lease, or similar tax on a paid transaction, JAYOBE will collect the applicable tax at the time of the charge and remit the collected tax to the applicable taxing authority.

JAYOBE uses Stripe Tax for automatic tax calculation, collection, and remittance. The amount of any applicable tax is calculated based on the billing address provided by the Employer and is displayed to the Employer at the billing gate and on each invoice or receipt in a tax-inclusive line item. Sales, use, service, transaction, lease, or similar tax collected by JAYOBE is not JAYOBE revenue; such amounts are held in trust for the applicable taxing authority and remitted directly to that authority.

State and local tax obligations applicable to software-as-a-service and similar digital services vary across U.S. jurisdictions and are subject to change. JAYOBE does not provide tax advice. The amount of tax actually charged on a particular transaction is the amount shown on the Employer's invoice or receipt, which controls over any general summary. The Employer is responsible for seeking its own tax advice regarding any tax obligation that applies to the Employer beyond the taxes JAYOBE collects at the time of the charge.

16. Disputes and Chargebacks

Billing Dispute Process

An Employer who disputes any charge assessed under these Billing Terms must submit the dispute in writing to billing@jayobe.io within thirty (30) days of the date of the charge in question. The thirty (30) day period for submitting a billing dispute under this Section is a period for informal, expedited resolution through JAYOBE's internal process, and is not a condition precedent to the Employer's right to pursue arbitration under Section 18 of the Terms of Service. The Employer's written dispute should include the Employer's account identifier, the date and amount of the disputed charge, the invoice or receipt identifier (where available), and a description of the basis for the dispute. JAYOBE will investigate the dispute and will respond in writing to the Employer within ten (10) business days of receipt of the written dispute.

Contact Before Chargeback

An Employer should contact JAYOBE at billing@jayobe.io before initiating a chargeback with the issuer of the payment card or the operator of the payment account. Many disputes can be resolved more quickly through the JAYOBE dispute process than through a card-network chargeback.

Important

Chargebacks Not Supported by a Reasonable Basis. A chargeback initiated by the Employer that is not supported by a reasonable basis — for example, where the underlying charge was authorized, the services were provided, and no non-frivolous basis existed for disputing the charge — is a violation of the Terms of Service and the Acceptable Use Policy(including without limitation Section 5.8 of the Acceptable Use Policy). JAYOBE may, in its good-faith determination and following a reasonable opportunity for the Employer to respond, treat such a chargeback as a violation and pursue the remedies available under the Terms of Service, including suspension or termination of the account. Nothing in this Section limits the Employer's legitimate right to dispute a charge through the Employer's card issuer.

Arbitration of Billing Disputes

Disputes arising under or relating to these Billing Terms, including disputes about any charge assessed under these Billing Terms, are resolved under the arbitration procedures set forth in Section 18 of the Terms of Service, subject to the carve-outs and opt-out right described in that Section. The opt-out right includes a time-limited window after first acceptance of the Terms of Service for a User to opt out of arbitration by written notice to legal@jayobe.io, as set out in Section 18.8 of the Terms of Service. Where twenty-five (25) or more substantially similar arbitration demands concerning these Billing Terms are filed against JAYOBE by or with the coordinated assistance of the same counsel, law firm, or organized group of counsel within any rolling 180-day period, the coordinated mass-arbitration procedures set forth in Section 18.4 of the Terms of Service apply, including the AAA Mass Arbitration Supplementary Rules, the bellwether process, the settlement conference, the staged fee payment provisions, and the inactivity-dismissal provisions. The governing law, venue, and class action waiver provisions in Sections 18 and 19 of the Terms of Service apply to these Billing Terms.

17. Modification of Billing Terms

JAYOBE may modify these Billing Terms from time to time. The "Last Updated" and "Effective Date" shown at the top of these Billing Terms will be revised to reflect the date of the most recent modification.

Non-Material Changes

Non-material changes — including typographical corrections, address updates, formatting changes, and similar revisions that do not expand the Employer's financial obligations, reduce the Employer's cancellation or refund rights, or materially alter the billing framework — take effect upon posting of the updated Billing Terms to the Platform with the Last Updated date revised accordingly.

Material Changes

Material changes — including additions to the Employer's financial obligations, material changes to the billing authorization mechanics, material changes to the cancellation mechanics, material changes to the automatic renewal mechanics, material changes to the refund framework, material changes to the structure of trial-to-paid transitions, or material changes to the price-change framework set forth in Section 11 — will be communicated to active paid Employer subscribers by email to the address associated with their account at least thirty (30) days before the change takes effect; an Employer who does not agree to a material change may cancel under Section 8 before the change takes effect, and continued use of the paid Services after the effective date constitutes acceptance of the updated Billing Terms, consistent with Section 20.1 of the Terms of Service.

Pricing Changes Governed by Section 11. Changes to subscription, Feature Upgrade, and Single Listing pricing are governed by Section 11 and do not require an amendment to these Billing Terms under this Section 17 to take effect. Changes to the price-change framework itself set forth in Section 11 are material changes subject to the notice process described in the preceding paragraph.

Versioning.Each version of these Billing Terms is assigned an internal version identifier, and the version identifier in effect at the time of each billing authorization consent event is recorded in JAYOBE's consent log as legal evidence of the terms then in effect.
